Terms of Service
1. Who we are
These terms are between you and Quantyra Labs, LLC. Quantyra Labs means that company.
2. Acceptance
Using this website, or paying for software or services from Quantyra Labs, means you agree to these terms. A purchase on Stripe Checkout also requires you to accept these terms before you pay. Stripe records that acceptance. If you do not agree, do not use the site and do not pay.
3. What you are buying
Quantyra Labs provides software and related technology services. A Quay license is a one-time fee for digital software. There is no subscription.
Lifetime license and updates. Your license never expires. It includes every update Quantyra Labs releases for the major version you bought (for example, every 2.x release if you bought version 2), at no extra charge, for the Product Lifetime. "Product Lifetime" means the period during which Quantyra Labs, LLC, or any successor that acquires Quay, offers Quay or any renamed version of it to the public. "Lifetime" means the life of the product, not your life or the life of any particular computer.
Major versions. Quantyra Labs may release a new major version of Quay that significantly changes or expands its functionality. A new major version is offered to existing license holders at a discounted upgrade price shown before purchase. You never have to upgrade. Your license keeps working on the major version you own, including all of its updates, and a new major version will not disable or reduce it. Bug fixes and security fixes are never treated as a major version.
If Quay is discontinued. If we decide to stop offering Quay, we will post notice on this website and email license holders at least 90 days before the Product Lifetime ends. Before it ends, we will release a final update to the major version you own that does not require a license check-in. After the Product Lifetime ends, we do not provide further updates, support, or compatibility with later versions of macOS.
License limits. Your license covers one Mac at a time. You may move it to a different Mac once every 30 days. Quay checks in with our license server periodically, and each check-in renews a 14-day lease. If Quay cannot reach the server, it keeps working until that lease ends, 14 days after its last successful check-in, and then stops opening databases until it checks in again. We may revoke a license if its payment is refunded or charged back, or if these terms are materially violated.
We do not promise a business result, that any particular feature will stay the same, or that your database, computer, or another company's service will keep working.
4. Fees and no refunds
Prices are shown before you pay. Fees are charged in advance through Stripe Checkout. Stripe hosts the payment page. We do not collect your card number on this website.
All sales are final. Fees are non-refundable. Quantyra Labs does not give refunds, returns, exchanges, credits, or partial refunds. That includes a change of mind, unused time, unused features, or stopping use of the software.
Digital software and license keys are made available after Stripe reports the payment as paid. By paying, you ask for that delivery.
A separate written agreement controls only the work it names. Fees already paid stay non-refundable unless that writing expressly says otherwise.
A law that Quantyra Labs is not allowed to override still applies to that purchase. No other exception applies.
Stripe processes the card payment. Stripe does not give you a refund right against Quantyra Labs. Your card issuer may still dispute a charge. If a payment is refunded or reversed, we revoke the license or access that payment bought.
Before you pay, Stripe Checkout shows these terms and requires you to accept them, including this no-refund policy.
5. Accounts
You must give accurate information when you create an account. You are responsible for your credentials.
6. Acceptable use
You will not use the services for an unlawful purpose or in a way that damages the infrastructure. You will not attempt unauthorized access or transmit malware.
7. Intellectual property
Intellectual property in the services remains the property of Quantyra Labs, LLC or its licensors. A purchase gives you the right to use the software as these terms and the product page describe, including the updates in section 3. It does not transfer ownership of the software.
8. Disclaimers and limitation of liability
The services are provided as available. To the maximum extent a law allows, Quantyra Labs, LLC is not liable for indirect, incidental, special, or consequential damages, or for lost profits, data, or business.
9. Ending use
You may stop using the software at any time. Stopping use does not create a refund. We may suspend or end access if you materially violate these terms, or as section 3 allows for refunds and chargebacks. Fees already paid stay non-refundable.
10. Governing law
These terms are governed by the laws of the state in which Quantyra Labs, LLC is organized, without regard to its conflict-of-laws rules.
11. Changes
We may update these terms. The date at the top of this page is the date of the current version. The version in effect when you pay applies to that purchase. A later update to these terms will not take away or reduce the license or updates described in section 3 for a license you already bought. Continued use of the website after an update means you accept the updated terms for that use.
